Terms of Service.

These Terms of Service (“Terms”) are a binding agreement between you and Hotly, Inc. (“Sadie,” “we,” “us,” or “our”) and govern your use of Sadie’s websites, chat, and related services (the “Services”). By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Sadie connects creators with brands for user-generated content (“UGC”) campaigns and helps manage those campaigns — including matching, briefs, content review, messaging, and payments. Parts of the Services are provided using artificial intelligence.
- No guarantee of deals or earnings. We do not guarantee that you will receive campaign offers, be selected by any brand, or earn any particular amount. Campaign availability depends on brand demand and fit.
- Not an employer, agent, or talent agency. Sadie is an independent platform. Nothing in these Terms creates an employment, agency, partnership, or fiduciary relationship between you and Sadie. Creators are independent contractors.
- AI assistance. Recommendations, briefs, and other outputs may be generated with AI and may contain errors. They are provided for your convenience and are not professional, legal, or financial advice.
3. Accounts
4. Campaigns, offers, and payment
- Offers.Campaign offers presented to you state the deliverables, the deadline, and the amount payable to you for that campaign (your “Creator Rate”). An offer becomes binding when you accept it through the Services.
- Deposits. Where stated in the offer, a portion of your Creator Rate is collected from the brand before you begin filming and held until the campaign completes.
- Delivery and approval. You must deliver content that materially conforms to the campaign brief by the stated deadline. Content that does not conform may require revision before payment is released.
- Payouts.Payouts are made through our payment provider, Stripe. You must complete Stripe onboarding to receive payment. Timing of payouts may depend on Stripe’s processing and your bank.
- Taxes. You are responsible for all taxes on amounts you earn through the Services. We may collect tax information and issue tax documents where required by law.
- Cancellations. If a brand cancels after you have accepted an offer, or a campaign fails, we will tell you what happens to any amounts already collected, consistent with the campaign terms presented to you.
5. Brand subscriptions and billing
This section applies to brands and agencies who subscribe to Sadie. Your plan, its price and its monthly allowances are the ones shown when you subscribe and confirmed in your receipt.
- What the subscription buys.Access to the Services and the campaign work described for your plan, up to that plan’s monthly allowances. It does not include creator fees, which are separate — see “Creator budgets” below.
- Allowances. A creator counts against your monthly allowance when a deal with that creator is agreed and accepted through the Services. Searches, shortlists, invitations and creators who decline do not count. Campaigns are counted separately from creators. Allowances reset each month on your renewal date and do not carry over.
- Free trial. Where a trial is offered, you are charged nothing during it. If you cancel before the trial ends you are not charged at all, and work already done during the trial remains yours. If you do not cancel, your first payment is taken when the trial ends and your subscription begins.
- Renewal. Subscriptions renew automatically each month on the same date and are charged to your payment method until cancelled. Payments are processed by our payment provider, Stripe.
- Cancelling. You may cancel at any time from your account, with no notice period. Cancellation takes effect at the end of the period you have paid for, and we will complete any campaign already committed before then — including chasing deadlines, reviewing content and paying creators what they were promised.
- Changing plan. Moving to a larger plan takes effect immediately; you pay the difference for the days remaining in the current month, and the new allowances apply from that moment. Moving to a smaller plan takes effect at your next renewal.
- Creator budgets. Creator fees are set by you, are separate from your subscription, and are held by our payment provider until you approve the work. We do not take a markup, percentage or commission on creator fees, and creators pay nothing to use the Services.
- Rights are priced per creator.Usage rights, paid-advertising rights and exclusivity are agreed with each creator in that creator’s offer and priced into their fee. They are not granted by your subscription, and rights take effect as set out in section 7.
- Price changes.The price you subscribe at applies for as long as your subscription stays active. If we change the price of a plan, we will give you at least 30 days’ notice before it applies to you, and you may cancel before it takes effect.
- Taxes and failed payments. Fees are exclusive of sales tax, VAT and similar taxes, which are added where they apply. If a payment fails we may retry it and may suspend the Services until it succeeds.
- Refunds. Subscription fees already charged are non-refundable except where the law requires otherwise. The trial, and cancelling before your next renewal, are how to avoid a charge you do not want. If something has gone wrong, contact us at support@getsadie.ai — we would rather sort it out.

7. Content and intellectual property
- Our IP. The Services and all content we provide — including software, design, text, and branding — are owned by Hotly, Inc. or its licensors and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services as intended.
- Your content. You retain ownership of content you create, except as you license or transfer it under a campaign. By submitting content to the Services, you grant Sadie a worldwide, non-exclusive, royalty-free license to host, use, copy, modify, and display it as needed to operate and promote the Services.
- Campaign content. Rights granted to a brand in content you create for its campaign are as stated in the campaign brief or offer, and take effect when you have been paid in full for that campaign.
- Originality.You represent that content you submit is your original work, does not infringe anyone’s rights, and that you have all releases and permissions needed (including music, locations, and people appearing in your content).

9. Creator responsibilities
- Follow all laws that apply to your content, including advertising-disclosure rules (for example, FTC requirements to clearly disclose paid partnerships, such as #ad);
- Follow each platform's own rules (for example, Instagram's terms and branded-content policies);
- Meet the deadlines and deliverables you accept;
- Communicate honestly with Sadie and with brands; and
- Not misrepresent your audience, engagement, or identity.
10. Prohibited conduct
You agree not to:
- Violate any law or regulation, or infringe anyone's rights;
- Use the Services to send spam or unsolicited communications;
- Circumvent the Services to avoid fees — including soliciting or accepting off-platform payment for a campaign introduced through Sadie;
- Interfere with, disrupt, reverse engineer, or attempt to gain unauthorized access to the Services;
- Use bots, fake engagement, or other artificial means to inflate metrics; or
- Engage in conduct that is harmful, fraudulent, deceptive, or otherwise objectionable.
